Key Considerations for Joining a Corporate Board

In collaboration with J.P. Morgan, we are pleased to invite you to an intimate discussion on key considerations for joining a corporate board, featuring Rebecca Thornton, J.P. Morgan’s Head of Director Advisory Services and Elizabeth Alfano, Executive Compensation Specialist in J.P. Morgan’s Advice Lab.  Topics will include:

  • Current trends in board composition
  • How to identify, evaluate, and position yourself for board opportunities
  • Expectations for compensation – trends in the market, how to effectively negotiate, and related tax and estate planning concerns

Featured Speakers:

Rebecca Thornton is head of J.P. Morgan’s Director Advisory Services, a no-fee client-service which provides director candidate referrals for our corporate clients.  Rebecca is a seasoned and respected governance expert who has spent two decades in director recruitment, board advisory services and CEO succession planning between Heidrick & Struggles, Spencer Stuart and J.P. Morgan. Throughout Rebecca’s search career she participated in more than 700 board & CEO assignments across a wide range of industries and special situations including board builds, IPOs, spins, activist investors and companies exiting bankruptcy. She has also worked with private equity firms, families and founders looking to evolve their governance models.

Elizabeth Alfano is an executive compensation specialist in the Advice Lab at J.P. Morgan Private Bank. She works closely with clients and their other professional advisors to optimize compensation, benefits, employment, and severance packages. She also helps develop strategies for single-stock positions, pre-IPO planning, M&A transactions, corporate governance and non-qualified/qualified deferred compensation plans. Previously she was a Senior Manager at EY where she specialized in executive compensation planning for senior executives, and prior to that served as Senior Tax Counsel at AIG, leading its U.S. compensation and benefits tax advisory team.

Joyce Averna (Moderator) is a client advisor at J.P. Morgan Private Bank in Orange County where she leads their Endowment & Foundation practice, advising public and private foundations, high net worth families and business owners across all facets of their financial life including investment management, banking, lending, tax and wealth planning strategies, charitable giving, board and family governance. Previously, Joyce was a Principal with Payden & Rygel in Los Angeles, a $130 billion global investment management firm where she advised many of the firm’s largest private and institutional clients. Joyce is Chair of Octane’s Women on Boards Committee.
